Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of our services.
6. Intellectual Property
All content, materials, and tools provided by ExpressCFO, including but not limited to reports, templates, guides, and software, are the intellectual property of XBS Express Business Solutions LLC. You may not reproduce, distribute, or create derivative works without our express written consent.
7. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or that any specific financial outcomes will be achieved. Financial coaching and advisory services do not constitute legal, tax, or investment advice.
8. Limitation of Liability
To the maximum extent permitted by law, ExpressCFO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.
9. Termination
Either party may terminate services with written notice as specified in your service agreement. We reserve the right to terminate or suspend access to our services immediately for violations of these Terms or for conduct we determine to be harmful to other users or our business.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Fulton County, Georgia.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the revised Terms.
